General Terms

The following terms of service (these "Terms of Service"), govern your access to and use of the Referr website and mobile application, including any content, functionality and services (the “Marketplace Offerings”) offered on or through www.referr.co.uk or the Referr mobile application (the "Site") by Referr Ltd. Referr Ltd is a company registered England and Wales (Company No. 14651607) 2nd Floor College House, 17 King Edwards Road, Ruislip, London, United Kingdom, HA4 7AE, as applicable. Referr Ltd and its subsidiaries are collectively referred hereto as "Referr" "we" or "us" and “you” or “user” means you as a user of the Site.

Please read the Terms of Service carefully before you start to use the Site. By using the Site, opening an account or by clicking to accept or agree to the Terms of Service when this option is made available to you, you accept and agree, on behalf of yourself or on behalf of your employer or any other entity (if applicable), to be bound and abide by these Terms of Service, Referr Payment Terms (“Payment Terms”), and our Privacy Policy, each of which is incorporated herein by reference. If you do not agree with all of these Terms of Service or the Privacy Policy, then you are expressly prohibited from using the site and/or Referr’s services and you must discontinue use immediately. For more detailed policies surrounding the activity and usage on the Site, please access the designated articles herein.

You may use the Services only in compliance with these Terms. You may use the Services only if you have the power to form a contract with Referr Ltd and are not barred under any applicable laws from doing so. The Services may continue to change over time as we refine and add more features. We may stop, suspend, or modify the Services at any time without prior notice to you. We may also remove any content from our Services at our discretion.

This Site is offered and available to users who are 18 years of age or older. If you are under eighteen you may not use this Site or the Referr services. By using this Site, you represent and warrant that you are of legal age to form a binding contract and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Site

Referr operates a marketplace that connects Referrers (who submit Referrals) with Service Providers (who purchase them). Referr is not a party to any Referral or to any contract formed between a Referrer and a Service Provider. Referr does not itself generate, source, own, sell, verify the underlying subject matter of, or take title to any Referral. Referrers are independent third parties and are not employees, agents, partners or representatives of Referr. Referr acts solely as (i) the operator of the marketplace and (ii) the Referrer’s limited authorised payment collection agent, as set out in the Payment Terms.

The marketplace is provided for business purposes only. By registering, you confirm that you are acting wholly or mainly for purposes relating to your trade, business, craft or profession and not as a consumer. You acknowledge that consumer protection legislation, including the Consumer Rights Act 2015, does not apply to your use of the marketplace or to any Referral you purchase or sell.

Referr’s automated platform features — including matching, the Quality Score and the checks run on each submission — are described in Schedule 1 (Platform Features and How They Work) at the end of these Terms of Service. Schedule 1 forms part of these Terms of Service.

Key Terms

Service Providers are users who create Service Listings on Referr, requesting Referrals from other users across the Site

Service Listings are services provided by Service Providers, for which Service Providers are requesting Referrals

Service Listings pages are where the Service Provider can describe the service or services that they provide and describe the Referrals they are seeking and the Referral Terms, and the Referrer can make a Referral

Referrals are the formal agreements between a Service Provider and a Referrer, whereby the Referrer submits the Lead Customer’s contact information to the Service Provider, in exchange for the Referral Reward, in line with the Referral Terms

User who sell leads are users who submit Referrals on the Referr marketplace, to sell leads to users who buy leads

Users can be Service Providers, User who sell leads, or both. User accounts on Referr allow users to perform as both Service Providers and User who sell leads without needing separate accounts. Users also includes Lead Customers who visit the Site.

Referral Terms are terms set by the Service Provider that are specific to the Service Listing. These terms govern Referrals made for Service Listings in addition to Referr’s Terms of Service

Referred Customers or Lead Customers or Leads are persons referred to Service Providers by User who sell leads during a Referral.

A Referral Reward is the amount of money that the Service Provider offers to pay the Referrer for every successful Referral

Summary of our main terms

Only registered Users may transact on Referr, whereby a transaction related to the completion of a Referral between a Service Provider and a Referrer. In some instances, only registered Users will have access rights to certain areas of the Site. Registration is free. In registering for an account, you agree to provide us with accurate, complete, and updated information and must not create an account for fraudulent or misleading purposes. You are solely responsible for any activity on your account and for maintaining the confidentiality and security of your password. We are not liable for any acts or omissions by you in connection with your account.

Service Listings on Referr describe the service that a Service Provider provides and the type of customer Leads that they are seeking. Referral Rewards are offered as an incentive on Referr for successful Referrals. Referral Rewards may be offered at a base starting price of £5. Some Referral Rewards are offered at a base price of more than £5 as determined by the Service Provider.

Service Provider’s pay the Referral Reward to get access to a Leads information.

Referrals are submitted through the Make a Referral button found on a Service Provider’s Service Listing page.

Users may not offer or accept payments using any method other than transacting through Referr.co.uk.

We care about your privacy. You can read our Privacy Policy here. The Privacy Policy is a part of these Terms of Service and incorporated herein by reference.

Users undertake to comply with Referr’s Community Standards, which are a set of behaviour rules and guidelines, applicable to the Referr community and marketplace in addition to these Terms of Service, as updated from time to time.

Service Providers

Service Providers create Service Listings on Referr to allow User who sell leads to refer Leads to Service Providers for their services.

Service Providers offer a Referral Reward on Service Listings which is paid to User who sell leads after the successful completion of a Referral

Each Referral purchased is subject to Referr’s platform fees. For more information about making payments, fees and taxes see the Payment Terms.

A Service Fee of 20% of the Referral Reward (15% for premium Lead Requests), subject to a minimum of £1, is payable by the Service Provider at the point of purchase, in addition to the Referral Reward. Referrers are not charged a Service Fee; a withdrawal fee applies to payouts as set out in the Payment Terms.

Service Providers may not promote their Service Listings or any Referr content via the Google Ads platform.

Service Providers are responsible for obtaining a general liability insurance policy with coverage amounts that are sufficient to cover all risks associated with the performance of their services.

Lead Requests

Service Providers are allowed to post an unlimited amount of active Service Listings. This is subject to change and Referr may make changes to this term at any time. Referr may limit an individual user’s ability to post Service Listings.

Service Listings created on Referr are User Generated Content.

Service Listings and/or Users may be removed by Referr from the Site for violations of these Terms of Service and/or our Community Standards, which may include (but are not limited to) the following violations and/or materials:

Illegal or Fraudulent services

Copyright Infringement, Trademark Infringement, and violation of a third party's terms of service

Adult oriented services, Pornographic, Inappropriate/Obscene

Intentional copies of Service Listings

Spam, nonsense, or violent or deceptive services or Service Listings

Service Listings misleading to User who sell leads or others

Reselling of regulated goods

Exceedingly low quality Service Listings

Promoting Referr and/or Referr Service Listings through activities that are prohibited by any laws, regulations, and/or third parties' terms of service, as well as through any marketing activity that negatively affects our relationships with our users or partners.

Service Listings that are removed for violations mentioned above, may result in the suspension of the User’s account.

Service Listings that are removed for violations are not eligible to be restored or edited.

Service Listings may be removed from our Search feature due to poor performance and/or user misconduct.

Service Listings containing URL’s or hyperlinks to websites promoting content, which violates Referr’s Terms of Service and/or our Community Standards, will be removed.

Service Listings are required to have an appropriate Service Listings image related to the service offered. An option to upload additional Service Listings images are available to all Service Providers. Service Providers must deliver the same quality of service as shown on their Service Listings images. Recurring complaint that actual service quality not matching the quality shown on the Service Listings images may lead to the Service Provider’s account becoming permanently disabled.

Statements on the Service Listing that undermine or circumvent these Terms of Service is prohibited.

Certain categories are available on an invite-only basis to select Users. If you are not an invite User, creating a Service Listing for these categories may result in the removal of your Service Listing.

Service Providers are allowed to include Referral Terms for Service Listings. These Referral Terms are terms set by the Service Provider that are specific to the Service Listing. These terms govern Referrals made for Service Listings in addition to Referr’s Terms of Service. Referral Terms on the Service Listing that undermine or circumvent these Terms of Service are prohibited and any Service Listing found to contain such Terms will be removed and may lead to the Service Provider’s account becoming permanently disabled.

Users who sell leads

You may not offer direct payments to Service Providers using payment systems outside of the Referr platform.

You may not offer Service Providers or any User to pay or make payment using any method other than through the Referr website platform (the Site). In case you have been asked to use an alternative payment method, please report it immediately to Customer Support by emailing hello@support.referr.co.uk or by clicking Help & Support from within your Referr account.

For security concerns, Referr may temporarily disable a Referrer’s ability to withdraw revenue to prevent fraudulent or illicit activity. This may come as a result of security issues, improper behaviour reported by other users, or associating multiple Referr accounts to a single withdrawal provider.

Each Referral you make and successfully complete, accredits your account with a revenue equal to 97% of the Referral Reward amount. In some cases, 100% of the amount may be accredited to your account, and a fee equal to 3% at a minimum of £3 GBP will be deducted on any monies withdrawn from your Referr account to your bank account.

Referr credits User who sell leads once a Referral is completed and, in most cases, this is 7 days after the completion of the Referral. See our Referrals section below for a definition of a completed Referral.

Referrers are solely responsible for validating that Lead Customers;

Are over the age of eighteen,

aware of the pending Referral and agree to their contact details being processed by Referr and shared with the Service Provider for the purpose of the Service Provider contacting them about the Service described within the Service Listing,

have a Legitimate Interest in the Service being provided by the Service Provider.

and comply with the Service Provider’s Referral Terms if applicable.

Referrals

Once a Referral has been submitted, a Referral will be created and given a unique reference number. Referrals are listed as a Referral within the My Referrals page of the Referrer’s account and as a Lead within the My Leads page of the Service Provider’s account.

A Referral is marked as Complete after it has been accepted by the Lead Customer and accepted and paid for by the Service Provider.

Once a Referral is Complete, the contact details

We encourage our Users to try and settle conflicts amongst themselves. If for any reason this fails, or if you encounter non-permitted usage on the Site, users can contact Referr’s Customer Support department for assistance by emailing hello@support.referr.co.uk or by clicking Help from within your Referr account. For more information about disputes, Referral cancellations and refunds please refer to the Payment Terms.

Handling Referrals

When a Referrer submits a Referral, the Service Provider is notified by email, SMS, as well as notifications on the Site, once the Referral has passed the automated checks described in Schedule 1 and the Referrer has warranted that the Lead Customer is aware of and consents to the Referral. Those checks are run on the information submitted; they do not confirm that the Lead Customer exists, consented, or has any interest in the Service Provider’s services.

Referrals are required to meet the Service Provider’s Referral Terms as set out on the Service Listing. Failing to do so will allow the Service Provider to cancel the Referral and seek a refund for the Referral.

Use of Referral information

Service Providers may contact Lead Customers using the details supplied, by any lawful means, in compliance with applicable law including UK GDPR and PECR. Service Providers must not use Referral information for any purpose other than pursuing the services for which the Referral was submitted, and must not resell, publish or transfer it.

Reviews

Functionality to enable Feedback reviews is coming to Referr.co.uk soon, and will be applied to individual User accounts on a test basis.

Feedback reviews provided by Users are an essential part of Referr’s rating system. Reviews demonstrate User’s overall experience with User who sell leads and Service Providers. Users are encouraged to communicate between each other about any concerns experienced during an active Referral.

Leaving feedback is a basic prerogative of a User. Feedback reviews will not be removed unless there are clear violations of our Terms of Service and/or our Community Standards.

To prevent any misuse of our Feedback system, all feedback reviews must come from legitimate Referral transactions executed exclusively through the Referr platform from users within our community. Transactions arranged, determined to artificially enhance User ratings, or to abuse the Referr platform with purchases from additional accounts, will result in a permanent suspension of all related accounts.

Feedback comments given by Users and Lead Customers are publicly displayed on a user’s profile page.

Users are allowed to leave reviews on Referrals up to 20 days after a Referral is marked as complete. No new reviews may be added to a Referral after 20 days. Lead Customers will be asked to leave a review 30 days after the Referral is marked as complete and will be able to leave a review for the next 60 days. Lead Customer reviews are therefore collected between 30 and 90 days after the Referral has been marked as complete.

Users may not solicit the removal of feedback reviews.

Disputes and Cancellations

We encourage our Users to try and settle conflicts amongst themselves. If for any reason this fails or if you encounter non-permitted usage on the Site, users can contact Referr’s Customer Support department for assistance. For more information about disputes, Referral cancellations and refunds please refer to the Payment Terms.

User Conduct and Protection

Referr enables people all around the globe to Buy and Sell customer referral leads for the products and services that they sell. The wider variety of services offered by our Service Providers reflects the diversity of small to medium businesses and freelance professionals everywhere. Users are members of the Referr community. Users communicate and engage through messaging, Referrals, social media, and Referr’s Community Forums.

Referr maintains a friendly, community spirit, and professional environment. Users should keep to that spirit while participating in any activity or extensions of Referr. This section relates to the expected conduct users should adhere to while interacting with each other on Referr.

To report a violation of our Terms of Service and/or our Community Standards, User Misconduct, or inquiries regarding your account, please contact our Customer Support team.

Basics

To protect our Users' privacy, User identities are kept anonymous. Requesting or providing Email addresses, Skype/IM usernames, telephone numbers or any other personal contact details to communicate outside of Referr to circumvent or abuse the Referr messaging system or Referr platform is not permitted.

Referr does not provide any guarantee of the level of service offered to Lead Customers by Service Providers as the result of a Referral.

Referr does not provide protection for users who interact outside of the Referr platform.

All information and file exchanges must be performed exclusively on Referr’s platform.

Rude, abusive, improper language, or violent messages will not be tolerated and may result in an account warning or the suspension/removal of your account.

Referr is open to everyone. Discrimination against a community member based on gender, race, age, religious affiliation, sexual orientation or otherwise is not acceptable and may result in the suspension/removal of your account.

Users may not submit proposals or solicit parties introduced through Referr to contract, engage with, or pay outside of Referr.

Referrals

Users with the intention to defame competing Service Providers by making Referrals to competing services will have their reviews removed and may result in the suspension/removal of your account.

Users are to refrain from spamming or soliciting other Users to pursue removing/modifying reviews or cancelling Referrals that do not align with our cancellation or Feedback policies.

Service Listings

Users may report Service Listings to Customer Support that may be in violation of Referr’s Terms of Service.

Service Providers warrant that any content included in their Service Listing shall be original content and shall not infringe any third-party rights, including, without limitation, copyrights, trademarks, or service marks. In the event that certain music or stock-footage media are incorporated within the Service Listing, Service Providers represent and warrant that they hold a valid license to use such music and/or footage and to include them in the Service Listing.

Violations

If you come across any content that may violate our Terms of Service and/or our Community Standards, you should report it to us through the appropriate channels created to manage those issues as outlined in our Terms of Service. All cases are reviewed by our Customer Services team. To protect individual privacy, the results of the investigation are not shared. You can review our Privacy Policy for more information.

Users may receive a warning to their account for violations of our Terms of Service and/or our Community Standards or any user misconduct reported to our teams. A warning will be sent to the user's email address and will be displayed for such user on the Site. Warnings do not limit account activity but can lead to your account losing statuses or becoming permanently disabled based on the severity of the violation.

Non-Permitted Usage

Adult Services & Pornography

Referr does not allow any exchange of adult oriented or pornographic materials and services. Referr does not allow any User to create a Service Listing to advertise any Services related to Adult Services or Pornography.

Inappropriate Behaviour & Language

Communication on Referr should be friendly, constructive, and professional. Referr condemns bullying, harassment, and hate speech towards others. We allow users a medium for which messages are exchanged between individuals, a system to rate transactions, and to engage on larger platforms such as our Community Forum and Social Media pages.

Phishing and Spam

Members’ security is a top priority. Any attempts to publish or send malicious content with the intent to compromise another member’s account or computer environment is strictly prohibited. Please respect our members privacy by not contacting them with offers, questions, suggestions, or anything which is not directly related to their Service Listings or Referral requests.

Privacy & Identity

You may not publish or post other people's private and confidential information. Any exchange of personal information required for the completion of a Referral must be provided in the Referral Submission Page. Users further confirm that whatever information they receive during a Referral, which is not public domain, shall not be used for any purpose whatsoever other than for the delivery of the Service to the Lead Customer. Any users who engage and communicate off of Referr will not be protected by our Terms of Service.

Authentic Profile

You may not create a false identity on Referr, misrepresent your identity, create a Referr profile for anyone other than yourself (a real person), or use or attempt to use another user’s account or information; Your profile information, including your description, skills, location, etc., while may be kept anonymous, must be accurate and complete and may not be misleading, illegal, offensive or otherwise harmful. Referr reserves the right to require users to go through a verification process in order to use the Site (whether by using ID, phone, camera, etc.).

Intellectual Property Claims

Referr will respond to clear and complete notices of alleged copyright or trademark infringement, and/or violation of third party’s terms of service. Our Intellectual Property claims procedures can be reviewed here.

Fraud / Unlawful Use

You may not use Referr for any unlawful purposes or to conduct illegal activities.

Fabricated Referrals and Impersonation

You must not, and must not attempt to: (a) submit any Referral relating to a person or business that does not exist, or whose details have been invented, fabricated, altered or copied from another source; (b) submit a Referral for a person or business that has not agreed to be referred, or has no genuine interest in the services concerned; (c) impersonate, or hold yourself out as, any person, business, employee, officer or director you are not, or communicate with a Service Provider while purporting to be a Lead Customer; (d) operate or control more than one account, or coordinate with others, to create the appearance that unrelated Referrals or Users exist; (e) delay, evade or obstruct contact with a Service Provider in order to cause the Money-Back Guarantee period to expire.

Breach of this clause is a fundamental breach. Referr may immediately and without notice suspend or permanently close all accounts operated or controlled by you, cancel affected Referrals, withhold, reverse and recover all associated Revenue and payouts under Recovering Amounts Owed in the Payment Terms, refund affected Service Providers, and report the matter to the police, Action Fraud, or any other competent authority.

Multiple Accounts

To prevent fraud and abuse, users are limited to one active Referr account. Any additional account determined to be created to circumvent guidelines, promote competitive advantages, or mislead the Referr community will be disabled. Mass account creation may result in disabling of all related accounts. Any violations of Referr’s Terms of Service and/or our Community Standards is a cause for permanent suspension of all accounts.

Targeted Abuse       

We do not tolerate users who engage in targeted abuse or harassment towards other users on Referr. This includes creating new multiple accounts to harass members through our message or ordering system.

Selling Accounts

You may not buy or sell Referr accounts.

Proprietary Restrictions

The Site, including its general layout, design, and content, is exclusively owned by Referr and protected by copyright and trademark law. Referr is a trademark owned exclusively by Referr. Users have no right, and specifically agree not to do the following with respect to the Site or any part, component or extension of the Site (including its mobile applications): (i) copy, transfer, adapt, modify, distribute or reproduce it, in any manner; (ii) reverse assemble, decompile, reverse engineer or otherwise attempt to derive its source code, underlying ideas, algorithms, structure or organization; (iii) modify or create derivative works; (iv) remove any copyright notice, identification or any other proprietary notices, or; (v) use the Site in any manner that could damage, disable, overburden or impair the Site, or interfere with any other users’ enjoyment of the Site. Users also agree not to permit or authorize anyone else to do any of the foregoing.

Feedback Rights

To the extent that you provide Referr with any comments, suggestions or other feedback regarding the Referr platform or the Site as a whole, as well as other Referr products or services (collective, the “Feedback”), you will be deemed to have granted Referr an exclusive, royalty-free, fully paid up, perpetual, irrevocable, worldwide ownership rights in the Feedback. Referr is under no obligation to implement any Feedback it may receive from users.

Confidentiality

Service Providers should recognize that there might be a need for User who sell leads to disclose certain confidential information to be used by Service Providers for the purpose of delivering a Referral, and to protect such confidential information from unauthorized use and disclosure. Therefore, Service Providers agree to treat any information received from User who sell leads as highly sensitive, top secret and classified material. Without derogating from the generality of the above, Service Providers specifically agree to (i) maintain all such information in strict confidence; (ii) not disclose the information to any third parties; (iii) not use the information for any purpose except for delivering the Services outlined in the Service Listing; and (vi) not to copy or reproduce any of the information without the Referrer’s or the Lead Customer’s permission.

General Terms

Referr reserves the right to put any account on hold or permanently disable accounts due to breach of these Terms of Service and/or our Community Standards or due to any illegal or inappropriate use of the Site or services.

Violation of Referr’s Terms of Service and/or our Community Standards may get your account disabled permanently.

Users with disabled accounts will not be able to sell or buy on Fiverr.

Users who have violated our Terms of Service and/or our Community Standards and had their account disabled may contact our Customer Support team for more information surrounding the violation and status of the account.

Users are actively encouraged to protect their account from any unauthorized usage by using strong passwords and not sharing login credentials with anyone.

Users must be able to verify their account ownership through Customer Support by providing materials that prove ownership of that account.

Disputes should be handled by contacting Referr Customer Support.

Referr may make changes to its Terms of Service from time to time. When these changes are made, Referr will make a new copy of the terms of service available on this page.

You understand and agree that if you use Referr after the date on which the Terms of Service have changed, Referr will treat your use as acceptance of the updated Terms of Service.

User Generated Content

User Generated Content ("UGC") refers to the content added by users as opposed to content created by the Site. All content uploaded to Referr by our Users is User Generated Content. Referr does not check user uploaded/created content for appropriateness, violations of copyright, trademarks, other rights or violations and the User uploading/creating such content shall be solely responsible for it and the consequences of using, disclosing, storing, or transmitting it. By uploading to, or creating content on, the Referr platform, you represent and warrant that you own or have obtained all rights, licenses, consents, permissions, power and/or authority, necessary to use and/or upload such content and that such content or the use thereof in the Site does not and shall not (a) infringe or violate any intellectual property, proprietary or privacy, data protection or publicity rights of any third party; (b) violate any applicable local, state, federal and international laws, regulations and conventions; and/or (c) violate any of your or third party’s policies and/or terms of service. We invite everyone to report violations together with proof of ownership as appropriate. Reported violating content may be removed or disabled.

Furthermore, Referr is not responsible for the content, quality or the level of service provided by the Users or Service Providers (even if they are marketed as highly rated or promoted Users or Service Providers or their Service Listings are promoted across the Site or otherwise). We provide no warranty with respect to the Service Listings, or the Services offered by Users or Service Providers, their delivery, and any communications between Users. We encourage Users to take advantage of our reviews system, our community forums and common sense in choosing appropriate services and referrals.

By creating a Service Listing, the Service Provider undertakes that he/she has sufficient permissions, rights and/or licenses to provide, sell or resell the service that is described on Referr.

By submitting a Referral, the Referrer undertakes that he/she has sufficient permissions, rights and/or licenses to submit the Referral and the Lead Customer’s contact information through the Referr platform.

User’s advertising online their Service Listing’s or Referral services must comply with laws and terms of service of the advertising platform or relevant website used to advertise. Failing to do so may result in removal of the Service Listing from the Site, as applicable, and may lead to the suspension of the User’s account.

For specific terms related to Intellectual Property rights and for reporting claims of copyright infringement (DMCA notices) or trademark infringement - please see our Intellectual Property Claims Policy which forms an integral part of these Terms of Service. Note that it is our policy in appropriate circumstances to disable and/or terminate the accounts of users who are repeat infringers.

The Site may invite you to chat, continue to , or participate in blogs, message boards, online forums, and other functionality and may provide you with the opportunity to create submit, post , display, transmit, perform, publish, distribute, or broadcast content and materials to use or on the site, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, “Contributions”.) Contributions may be viewable by other users of the Site and Referr’s Services and through their-party websites. As such, any contributions you transmit may be treated as non-confidential and non-proprietary. When you create or make available Contributions, you thereby present and warrant that:

The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.

You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Site, and other users of the Site to use your Contributions in any manner contemplated by the Site and these Terms of Use.

You have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Contributions in any manner contemplated by the Site and these Terms of Use.

Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.

Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libellous, slanderous, or otherwise objectionable (as determined by us).

Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.

Your Contributions are not used to harass or threaten (in the legal sense of those terms) any other person and to promote violence against a specific person or class of people.

Your Contributions do not violate any applicable law, regulation, or rule.

Your Contributions do not violate the privacy or publicity rights of any third party.

Your Contributions do not contain any material that solicits personal information from anyone under the age of eighteen or exploits people under the age of eighteen in a sexual or violent manner.

Your Contributions do not violate any applicable law concerning child pornography, or otherwise intended to protect the health or well-being of minors.

Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual orientation, or physical handicap.

Your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms of Use, or any applicable law or regulation.

Any use of the Site or the Marketplace Offerings in violation of the foregoing violates these Terms of Use and may result in, among other things, termination, or suspension of your rights to use the Site and the Marketplace Offerings.

Contribution License

By posting your Contributions to any part of the Site or making Contributions accessible to the Site by linking your account from the Site to any of your social networking accounts, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions, and grant and authorize sublicenses of the foregoing. The use and distribution may occur in any media formats and through any media channels.

This license will apply to any form, media, or technology now known or hereafter developed, and includes our use of your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names, logos, and personal and commercial images you provide. You waive all moral rights in your Contributions, and you warrant that moral rights have not otherwise been asserted in your Contributions.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights, or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Site. You are solely responsible for your Contributions to the Site, and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

We have the right, in our sole and absolute discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorize any Contributions to place them in more appropriate locations on the Site; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions.

Social Media

As part of the functionality of the Site, you may link your account with online accounts you have with third-party service providers (each such account, a “Third-Party Account”) by either: (1) providing your Third-Party Account login information through the Site; or (2) allowing us to access your Third-Party Account, as is permitted under the applicable terms and conditions that govern your use of each Third-Party Account. You represent and warrant that you are entitled to disclose your Third-Party Account login information to us and/or grant us access to your Third-Party Account, without breach by you of any of the terms and conditions that govern your use of the applicable Third-Party Account, and without obligating us to pay any fees or making us subject to any usage limitations imposed by the third-party service provider of the Third-Party Account. By granting us access to any Third-Party Accounts, you understand that (1) we may access, make available, and store (if applicable) any content that you have provided to and stored in your Third-Party Account (the “Social Network Content”) so that it is available on and through the Site via your account, including without limitation any friend lists and (2) we may submit to and receive from your Third-Party Account additional information to the extent you are notified when you link your account with the Third-Party Account. Depending on the Third-Party Accounts you choose and subject to the privacy settings that you have set in such Third-Party Accounts, personally identifiable information that you post to your Third-Party Accounts may be available on and through your account on the Site. Please note that if a Third-Party Account or associated service becomes unavailable or our access to such Third-Party Account is terminated by the third-party service provider, then Social Network Content may no longer be available on and through the Site. You will have the ability to disable the connection between your account on the Site and your Third-Party Accounts at any time. PLEASE NOTE THAT YOUR RELATIONSHIP WITH THE THIRD-PARTY SERVICE PROVIDERS ASSOCIATED WITH YOUR THIRD-PARTY ACCOUNTS IS GOVERNED SOLELY BY YOUR AGREEMENT(S) WITH SUCH THIRD-PARTY SERVICE PROVIDERS. We make no effort to review any Social Network Content for any purpose, including but not limited to, for accuracy, legality, or non-infringement, and we are not responsible for any Social Network Content. You acknowledge and agree that we may access your email address book associated with a Third-Party Account and your contacts list stored on your mobile device or tablet computer solely for purposes of identifying and informing you of those contacts who have also registered to use the Site. You can deactivate the connection between the Site and your Third-Party Account by contacting us using the contact information below or through your account settings (if applicable). We will attempt to delete any information stored on our servers that was obtained through such Third-Party Account, except the username and profile picture that become associated with your account.

Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site or the Marketplace Offerings ("Submissions") provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

Third-party Websites and Content

The Site may contain (or you may be sent via the Site or the Marketplace Offerings) links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third Party Websites accessed through the Site or any Third-Party Content posted on, available through, or installed from the Site, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Site and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Terms of Use no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Site or relating to any applications you use or install from the Site. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party. You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites and you shall hold us harmless from any harm caused by your purchase of such products or services. Additionally, you shall hold us harmless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.

Advertisers

We allow advertisers to display their advertisements and other information in certain areas of the Site, such as sidebar advertisements or banner advertisements. If you are an advertiser, you shall take full responsibility for any advertisements you place on the Site and any services provided on the Site or products sold through those advertisements. Further, as an advertiser, you warrant and represent that you possess all rights and authority to place advertisements on the Site, including, but not limited to, intellectual property rights, publicity rights, and contractual rights. We simply provide the space to place such advertisements, and we have no other relationship with advertisers.

Site Management

We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms of Use; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Use, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site and the Marketplace Offerings.

Term and Termination

These Terms of Use shall remain in full force and effect while you use the Site. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE AND THE MARKETPLACE OFFERINGS (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF USE OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SITE AND THE MARKETPLACE OFFERINGS OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

Investigations

Where Referr has reasonable grounds to suspect that a User has breached these Terms of Service or engaged in fraudulent, unlawful or deceptive conduct, Referr may (without that action constituting a finding, admission or determination of wrongdoing): (a) suspend or restrict the User’s account, listings and Referrals pending investigation; (b) withhold, suspend or reverse any payout, and freeze any User Balance, in whole or in part; (c) cancel affected Referrals and refund affected Service Providers; (d) require identity verification, including government-issued ID and proof of business or address, before permitting further activity or any withdrawal; (e) contact any Lead Customer or named business to verify a Referral; (f) retain records, including account, device, network and transaction data, for the investigation and any subsequent proceedings; and (g) disclose information to law enforcement, regulators, payment providers and affected Users where Referr reasonably considers it necessary to prevent, detect, investigate or report suspected fraud or other crime.

Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the Marketplace Offerings without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site or the Marketplace Offerings.

We cannot guarantee the Site and the Marketplace Offerings will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Site, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Site or the Marketplace Offerings at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site or the Marketplace Offerings during any downtime or discontinuance of the Site or the Marketplace Offerings. Nothing in these Terms of Use will be construed to obligate us to maintain and support the Site or the Marketplace Offerings or to supply any corrections, updates, or releases in connection therewith.

Governing Law

These conditions are governed by and interpreted following the laws of England and Wales, and the use of the United Nations Convention of Contracts for the International Sales of Goods is expressly excluded. The marketplace is provided for business purposes only and consumer protection legislation does not apply to your use of it. Referr and yourself both agree to submit to the non-exclusive jurisdiction of the courts of England and Wales.

Dispute Resolution

If you have a concern about the marketplace, a Referral or another User, please contact our Customer Support team so that we can try to resolve it with you.

Lead Disputes

Where a Service Provider raises a concern about a Referral, Referr may open a Lead Dispute. Within the Money-Back Guarantee period (7 days from purchase) a Service Provider may request one; outside it, Referr may open one at its sole discretion, on a best-endeavours basis, for any Referral purchased within the preceding 90 days. No User has a right to require Referr to open one, or to require Referr to explain a decision not to.

Once opened: (a) both parties will be invited to set out their position and provide evidence; (b) each party has 7 days from being invited to respond; (c) if a party does not respond within that period, Referr will determine the dispute on the evidence available to it, which may include evidence gathered by Referr independently; (d) Referr will notify both parties of the outcome; and (e) Referr’s decision is final.

A Lead Dispute is a contractual process operated by Referr as marketplace operator. It is not arbitration, does not affect either party’s legal rights, and does not require either party to communicate directly with the other. Where a dispute is determined against a Referrer, amounts are recoverable under the Recovering Amounts Owed section of the Payment Terms.

Nothing in this section creates a right to a refund outside the Money-Back Guarantee period, or extends that period.

Time limit for claims

Any claim arising out of or in connection with a Referral or its purchase must be notified to Referr in writing within six (6) months of the date of purchase of that Referral. Referr shall have no liability in respect of any claim notified after that period.

Corrections

There may be information on the Site that contains typographical errors, inaccuracies, or omissions that may relate to the Marketplace Offerings, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.

Disclaimer of Warranties

YOUR USE OF THE SITE, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER REFERR NOR ANY PERSON ASSOCIATED WITH REFERR MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF THE WEBSITE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

No warranty as to Referrals

Referrals are submitted by Referrers, not by Referr. To the fullest extent permitted by law, Referr gives no warranty, representation or guarantee that any Referral: (a) relates to a real, identifiable or contactable person or business; (b) is accurate, complete or current; (c) has been submitted with the Lead Customer’s knowledge or consent; (d) represents a genuine interest in the Service Provider’s services; (e) will respond to contact, engage, convert into work, or generate any revenue; or (f) is suitable for the Service Provider’s purposes.

Service Providers acknowledge that purchasing a Referral is the purchase of contact information and stated interest submitted by a third party, and that commercial outcomes depend on factors outside Referr’s control. Service Providers are responsible for their own due diligence before and after purchase, including verifying the identity and legitimacy of any person or business they engage with.

Referr’s obligations in respect of invalid, inaccurate or fraudulent Referrals are limited to those expressly set out in the Money-Back Guarantee and dispute provisions of the Payment Terms, which are the sole and exclusive remedies available in respect of a Referral.

Limitation on Liability

(a) Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability which cannot lawfully be limited or excluded.

(b) Subject to (a), Referr shall not be liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any: loss of profit; loss of business, contracts or opportunity; loss of anticipated savings; loss of goodwill or reputation; wasted expenditure, management or staff time; or any indirect or consequential loss.

(c) Subject to (a), Referr’s total aggregate liability to any User arising out of or in connection with these Terms, the marketplace, or any Referral shall not exceed the greater of (i) the total Service Fees paid by that User to Referr in the twelve (12) months preceding the event giving rise to the claim, and (ii) £500.

(d) Referr is not liable for the acts, omissions, statements, conduct or content of any User, including the accuracy or legitimacy of any Referral, or for any loss arising from a User’s dealings with any Lead Customer or third party.

The term “Affiliate” referred to herein, is an entity that, directly or indirectly, controls, or is under the control of, or is under common control with Referr, where control means having more than fifty percent (50%) voting stock or other ownership interest or the majority of voting rights of such entity.

Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Marketplace Offerings; (3) breach of these Terms of Use; (4) any breach of your representations and warranties set forth in these Terms of Use; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Site or the Marketplace Offerings with whom you connected via the Site. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defence of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

User Data

We will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Marketplace Offerings, as well as data relating to your use of the Marketplace Offerings. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Marketplace Offerings. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

Electronic Communications, Transactions, and Signatures

Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

Miscellaneous

These Terms of Use and any policies or operating rules posted by us on the Site or in respect to the Marketplace Offerings constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Use or use of the Marketplace Offerings. You agree that these Terms of Use will not be construed against us by virtue of having drafted them. You hereby waive any and all defences you may have based on the electronic form of these Terms of Use and the lack of signing by the parties hereto to execute these Terms of Use.

Schedule 1 — Platform Features and How They Work

This Schedule describes how Referr’s automated platform features operate. It is the definitive description of those features. Descriptions elsewhere on the Referr website or in marketing materials are summaries only.

1. Matching

Service Providers publish Lead Requests specifying category, location, price and requirements. When a Referrer submits a Referral, Referr’s matching process compares the category selected by the Referrer, the price, and the compatibility of the Referral with the criteria of open Lead Requests, and surfaces the Referral to matching requests. Referrals are surfaced only to Lead Requests that are active and belong to verified buyer accounts. Matching is an automated process based on the attributes supplied by each party. It does not assess, verify or endorse the merits, legitimacy, accuracy or likely outcome of any Referral or Lead Request, and it does not guarantee that any Referral will be matched, purchased, responded to or converted.

2. Quality Score

Each Referral displays a Quality Score between 0 and 100. The score is generated by automated checks run on every submission, which include: whether the required contact fields (first name, last name, email address, telephone number and company) are present and correctly formed; whether those details are internally consistent (for example whether the email domain matches the stated company name, or the lead’s name appears in the email address); whether the telephone number is valid for the country given; whether the email address uses a disposable or temporary email domain; whether the Referral duplicates an existing record; and screening of submitted content for profanity.

These checks are performed on the information submitted. They do not involve contacting the Lead Customer, and they do not confirm that the person or business exists, that the contact details are in service, that the Lead Customer consented to the Referral, that they have any interest in the Service Provider’s services, or that the Referral is genuine. The Quality Score is therefore an indicator of data quality and completeness. It is not a verification of the Referral and is not a guarantee of any kind, and must not be relied on as one.

3. Limits of automated checks

The checks described above operate on the data as submitted. Referr does not contact Lead Customers to confirm a Referral before it is sold, does not verify the existence or trading status of any business named in a Referral, and does not confirm that a telephone number or email address is in active use by the person named. Referrers warrant the genuineness of each Referral (paragraph 8); Referr relies on those warranties.

4. Buyer verification

Lead Requests are published only by verified buyer accounts. A buyer account is verified where the account holder has confirmed their email address, completed account onboarding, and registered a valid payment method with Referr’s Payment Processor Provider. Verification of a buyer account confirms those things only. It is not a check of the Service Provider’s identity, trading status, competence or conduct, and is not an endorsement of them. Referrals are matched only to active Lead Requests belonging to verified buyer accounts.

5. Boosting

Boosting increases the prominence of a Lead Request within the platform. Referr does not guarantee any particular number of views, Referrals, purchases or outcomes from a boosted Lead Request.

6. Lead Request types

Pay per Lead: the Service Provider pays at the point they choose to purchase a Referral. Pay on Completion: the Service Provider commits to a Referral and pays on the terms specified for that request type. Availability of each type may vary, and the pool of Referrers active on each type may differ.

7. Notifications and prompts

Referr sends automated notifications and reminders to Users, including where a Referral has not been actioned within a period set by Referr (currently 72 hours). These are prompts only and place no obligation on any User.

8. Referrer warranties

Referrers warrant on each submission that the Lead Customer is aged 18 or over, is aware of the Referral, consents to their contact details being shared, and has a genuine interest in the services concerned. Referr relies on those warranties. Referr does not independently verify them.

9. Changes to features

Referr may add, change, suspend or withdraw any feature at any time. Where a change materially alters how a feature described in this Schedule operates, Referr will update this Schedule.

10. No guarantee of outcome

No feature described in this Schedule constitutes a verification, endorsement or guarantee of any Referral, Referrer or Service Provider, or of any commercial outcome. The "No warranty as to Referrals" clause applies to all Referrals.
